This Contract between Fan and Creator (this "Agreement") governs each transaction in which a Fan obtains content or an interaction from a Creator on Para (each, a "Creator Interaction"). It applies in addition to the Para Terms of Use and the rest of the Terms of Service.
This Agreement applies every time a Fan enters into a Creator Interaction with a Creator — a Subscription, a pay-per-view ("PPV") purchase, a paid message, a tip or gift, crowdfunding, an auction, a paid Q&A, a pass, paid chat, or the purchase of a spin, entry, or chance on a Fortune Wheel, loot box, or other digital-reward feature.
The only parties to this Agreement are the Fan and the Creator participating in the relevant Creator Interaction.
Tingz Group Inc. (doing business as Para) and Parasocial Limited ("Para") are not parties to this Agreement, and Para neither grants nor acquires any rights in the Creator Content licensed under it. This Agreement is the licence of content from the Creator to the Fan.
Payment is handled separately, under the Para Terms of Use. For every Creator Interaction, Para is the merchant of record: Para charges the Fan in its own name, as principal, and pays the Creator a revenue share under the Creator Payout Terms. Para does not act as the Creator's payment agent, as a payment facilitator, or as a conduit, and does not collect or hold the Fan's payment for the Creator or remit it on the Creator's behalf.
The Creator — not Para — is the author, owner, and licensor of the Creator Content and is solely responsible for it and for the Creator Interaction.
The Creator sets the price of each Creator Interaction, shown to the Fan before purchase in U.S. dollars (exclusive of taxes, which may be added). By confirming a Creator Interaction, the Fan agrees to pay the Fan Payment (plus any applicable taxes) and authorizes Para, as merchant of record, to charge the Fan's payment method in its own name. Para retains its fee and pays the Creator a revenue share under the Creator Payout Terms; the Fan's payment is made to Para, not held by Para for the Creator. For Subscriptions, the Fan authorizes recurring charges until cancellation, as described in the Terms of Use.
In consideration of the Fan Payment, the Creator grants the Fan a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and view the Relevant Content on the Fan's own device through the ordinary functionality of the Services, for the Fan's personal, non-commercial enjoyment only (the "Creator Interaction Licence"). The only copying permitted is the temporary, incidental, technical copying that is part of normal viewing (for example caching). The Fan must not download (except where a Creator expressly enables it), screenshot, screen-record, copy, reproduce, republish, distribute, sell, sublicense, publicly display, or otherwise exploit the Relevant Content, and must not remove any watermark or attribution.
The Creator Interaction Licence does not transfer any ownership of, or intellectual-property rights in, the Relevant Content. All such rights remain with the Creator (or its licensors).
The Creator Interaction Licence expires automatically, without notice, on the earliest of:
On expiry, the Fan must stop accessing and using the Relevant Content.
8.1 Immediate digital supply. Relevant Content is digital and is supplied or made accessible immediately. The Fan requests and expressly consents to immediate supply and acknowledges that, to the extent permitted by law, this means the Creator Interaction is final and non-refundable once supply begins.
8.2 EU / UK and other statutory rights. Where the Fan is a consumer with non-waivable rights (for example under the EU Consumer Rights Directive or the UK Consumer Contracts Regulations): by consenting to immediate supply and acknowledging the loss of the cancellation right at checkout, the Fan's 14-day right to cancel does not apply to a Creator Interaction (other than a Subscription) once supply has begun. For a Subscription, the Fan may exercise any applicable cancellation right, and any refund will be proportionate to the part of the period not yet supplied. This Agreement does not affect any non-waivable statutory right to a refund the Fan may have (for example for content that is faulty or not as described).
8.3 Good-faith chargebacks only. The Fan agrees to contact Para support first about any payment concern and not to initiate a chargeback or payment reversal except in good faith in relation to a genuine dispute. An unjustified or bad-faith chargeback is a breach of the Terms of Service and may result in suspension or termination and automatic expiry of the Creator Interaction Licence (Section 7).
The Creator represents, warrants, and agrees that:
The Creator does not guarantee any specific outcome, availability, or result from a Creator Interaction beyond providing the described Relevant Content. Except to the extent caused by the Creator's negligence or breach, the Fan accesses the Relevant Content at the Fan's own risk. As stated in Section 2, Para is not responsible for the Relevant Content or the Creator Interaction; any claim about a Creator Interaction is between the Fan and the Creator.
This Agreement is governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws rules, and does not deprive a consumer of the protection of non-waivable mandatory rules of the law of the country where they live. Disputes between the Fan and the Creator should first be raised with Para, which may (without obligation) try to mediate as described in the Terms of Use. Any dispute that involves Para is subject to the arbitration agreement and class-action waiver in Section 25 of the Terms of Use.
If any provision of this Agreement is unenforceable, it is modified to the minimum extent necessary and the remainder stays in effect.
